Preambuła ZWAŻYWSZY, ŻE:	THIS AGREEMENT was made and entered into on [*], BY AND BETWEEN: a.       x and 2.      [*] with its principal office in [*], address: [*], entered into the entrepreneurs register of the National Court Register kept by the Regional Court for [*], [*] Commercial Division of the National Court Register under no. KRS [*], initial capital PLN [*], tax identification no. NIP: [*], national business registry no. REGON: [*], hereinafter “[*]”, represented by: [*] – [*] collectively known as the “Parties” and each individually as a “Party”. Preamble WHEREAS:
W związku z powyższym, Strony uzgadniają co następuje:	Now, therefore, the Parties hereto agree as follows:
Strony zobowiązują się traktować jako ściśle poufne i nie ujawniać bez uzyskania uprzednio wyraźnej zgody Strony Ujawniającej na piśmie, jakichkolwiek informacji (bez względu na formę ich wyrażenia i nośniki) i dokumentów, w tym jakichkolwiek danych technicznych, finansowych lub gospodarczych, łącznie z materiałami i dokumentacją w tym zakresie, tajemnic handlowych, projektów organizacyjnych lub biznes planów, wyników badań rynkowych oraz innych informacji na temat Strony i/lub jej klientów, dostawców, produktów, zasad ustalania cen i sposobów prowadzenia przedsiębiorstwa, uzyskanych od Strony Ujawniającej, niezależnie od tego czy informacje te będą miały formę pisemną czy zostaną uzyskane na innych nośnikach, („Informacje Poufne”), z zastrzeżeniem postanowień poniższego § 4 Umowy.	The Parties agree to treat as strictly confidential and not to disclose without prior written and explicit consent of the Disclosing Party any and all information (irrespective of the form in which it is expressed or the type of data carrier) and documents including any and all technical, financial or commercial data together with any related materials and documents, trade secrets, organisational projects or business plans, market research results and other information concerning a Party and/or its clients, suppliers, products, pricing principles and ways of conducting business received from the Disclosing Party, irrespective of whether that information is written or obtained on other data carriers, (“Confidential Information”), without prejudice to the provisions of Article 4  below.
Wszelkie spory mogące wyniknąć z niniejszej Umowy lub z nią związane, które nie zostaną rozstrzygnięte polubownie, będą ostatecznie rozstrzygane przez Sąd w Warszawie. Niniejsza Umowa nie stanowi zobowiązania żadnej ze Stron do zawarcia z drugą Stroną jakiejkolwiek umowy lub prowadzenia współpracy.	Any disputes arising out of this Agreement or relating hereto which are not settled amicably shall be finally settled by a Court in Warsaw. This Agreement shall place no obligation on either Party to enter into any agreement or cooperate with the other Party.
Wszelkie powiadomienia, o których mowa w niniejszej Umowie, będą miały formę pisemną i będą doręczane osobiście, listem poleconym lub przesyłką kurierską, w każdym przypadku z potwierdzeniem odbioru, na adresy Stron podane w preambule do niniejszej Umowy lub na inny adres wskazany przez daną Stronę w formie pisemnej pod rygorem nieważności.	To be effective, any and all notices referred to herein shall be made in writing and delivered in person, by registered mail or courier, each time with acknowledgment of receipt, and to the Parties’ addresses given in the preamble hereto or to another address specified by a respective Party in writing.
Wszelkie zmiany do niniejszej Umowy dla swojej ważności wymagają formy pisemnej.	No amendment hereto shall be effective unless it is in writing.
Niniejszą Umowę zawarto w dwóch jednobrzmiących egzemplarzach po jednym dla każdej ze Stron.	This Agreement has been made in two identical copies, one for each Party.
Zgodnie z art. 160 ust. 3 ustawy z dnia 27 lipca 2005 r. Prawo o szkolnictwie wyższym (Dz. U. Nr 164, poz. 1365 z późn. zm.), przedmiotem umowy jest określenie warunków odpłatności za studia.	This Agreement specifies the terms and conditions for payment of tuition fees, pursuant to Article 160 section 3 of the Act of 27 July 2005 – Law on Higher Education (Journal of Laws No. 164, item 1365 as amended).

Niniejsza Umowa zostaje zawarta na czas nieokreślony od dnia 01.11.2011 roku. 1.         Strony mają prawo rozwiązać Umowę z zachowaniem dwumiesięcznego okresu wypowiedzenia skutecznego na koniec miesiąca kalendarzowego . 2.         Stronom przysługuje prawo natychmiastowego rozwiązania Umowy bez zachowania okresu wypowiedzenia w razie: a)         rażącego naruszenia postanowień Umowy przez drugą stronę, w tym w szczególności naruszenia zasady poufności lub wyłączności; po uprzednim wezwaniu i wyznaczeniu stronie dodatkowego 14-dniowego terminu na zaniechanie naruszeń.	This Agreement shall continue until termination from 1 November 2011. 1.         The Parties shall have the right to terminate the Agreement with two months’ notice to expire at the end of a calendar month. 2.         The Parties shall have the right to terminate the Agreement immediately without notice if: a)         the other Party is in a material breach hereof, including in particular a breach of the confidentiality or exclusivity provisions; after having requested the other Party and set an additional 14-day deadline to bring the breach to an end.
Niniejsza umowa została zawarta w dwóch wersjach językowych w polskiej i angielskiej. W przypadku rozbieżności, wersja angielska jest wiążąca.	This Agreement has been made in two language versions, Polish and English. In case of discrepancies, the English version shall prevail.
D zapłaci ZD karę umowną w wysokości 0,2 % wartości szacunkowej Umowy, o której mowa w ust. 1 § 2 Umowy, za każdy kalendarzowy dzień opóźnienia dostawy	For each calendar day of delay in supplies, S shall pay to P 0.2% of the estimated value of the Agreement, as referred to in Article 2 (1), as liquidated damages
Wszelkie dotychczasowe ustalenia Stron, w tym zawarte w PN, pozostające w sprzeczności z ustaleniami zawartymi w niniejszej Umowie są nieważne	Any and all previous agreements by the Parties, including those made in the RN, which are inconsistent with this Agreement, are hereby overridden
W przypadku odstąpienia przez Inwestora od Kontraktu Głównego lub przez Zamawiającego od umowy podwykonawstwa z przyczyn nie leżących po stronie ZD, ZD będzie uprawniony do rozwiązania umowy z D ze skutkiem natychmiastowym	If the Investor withdraws from the Master Contract or if the Employer withdraws from the subcontract through no fault of P, P shall have the right to immediately terminate the agreement with S
Zleceniobiorca oświadcza, że dysponuje wiedzą, doświadczeniem oraz personelem niezbędnym do należytego zarządzania przedsiębiorstwem Spółek i nie istnieją żadne przeszkody prawne i faktyczne uniemożliwiające lub utrudniające mu wykonywanie obowiązków przewidzianych niniejszą umową i przepisami prawa	The Contractor represents that it has the knowledge, experience and personnel necessary to properly manage the business of the Companies and that there are no legal and factual obstacles which would render impossible or hinder the performance of its obligations specified herein and by the law
Szczegółowy zakres Usług, do świadczenia których zobowiązany jest Zleceniobiorca na podstawie Umowy został określony w Załączniku nr 1 do niniejszej Umowy	A detailed list of Services, which the Provider shall provide hereunder, is given in Appendix no. 1 hereto
Strony będą uzgadniać na bieżąco, pisemnie lub ustnie, szczegółowe działania i cele oraz sposoby ich realizacji	The Parties shall agree, in writing or orally, on the details of actions, objectives and the manner of pursuing thereof on an on-going basis
Zleceniobiorca zobowiązuje się wykonywać obowiązki wynikające z umowy w sposób należyty i profesjonalny, przy dołożeniu najwyższej staranności oraz utrzymać najwyższy standard usług	The Provider shall perform its obligations hereunder professionally, with due diligence and due care, while maintaining the highest standard of services
Zleceniobiorca ponosi odpowiedzialność za wszelkie działania i zaniechania osoby trzeciej, tak jak za własne	The Provider shall be responsible for any actions or inactions of third parties as for its own actions or inactions
Wszelkie spory, które mogą powstać w związku z zawarciem lub wykonaniem niniejszej Umowy Strony przekażą do rozstrzygnięcia sądowi właściwemu dla siedziby Zleceniodawcy	Any disputes arising in connection with the entering into or performing this Agreement shall be referred for determination by the Court having jurisdiction over the Client
Za każdorazowe złamanie powyższego zakazu Zlecający może żądać od Pośrednika  zapłaty kary umownej  w wysokości 20.000 euro	Each time the Agent violates the above, the Agent may be requested by the Principal to pay EUR 20,000 as liquidated damages
Jeżeli stosowny aneks lub umowa nie reguluje tego inaczej każda ze Stron zobowiązana jest do zapewnienia stosownych sił i środków dla realizacji właściwych dla niej obowiązków wynikających z niniejszej umowy	Unless an appropriate annex or agreement provides otherwise, either Party shall ensure appropriate powers and resources necessary for it to perform its obligations hereunder
Pracownik zobowiązuje się, w trakcie trwania stosunku pracy łączącego go z Pracodawcą oraz 12 miesięcy po ustaniu stosunku pracy do nie podejmowania działalności konkurencyjnej wobec Pracodawcy określonej w art. 1011 do 1014 Kodeksu Pracy.	While in an employment relationship with the Employer and within 12 months thereafter, the Employee shall not carry on any activities competitive with the activities of the Employer, as specified in Articles 1011 to 1014 of the Polish Labour Code.
W razie niewykonania przez Pracownika obowiązków określonych w niniejszej umowie, podczas trwania stosunku pracy Pracodawca może dochodzić od niego naprawienia poniesionej szkody na zasadach określonych w art. 114-122 Kodeksu pracy	If the Employee defaults in performing any of his/her duties defined herein, the Employer, while in the employment relationship with the Employee, may claim any loss from the Employee, under Articles 114-122 of the Polish Labour Code
